Terms of Service

1. Agreement

These Terms of Service (the "Terms") form a binding agreement between you (the "Customer", "you") and Authigent (the company providing the Authigent Email service, "we", "us") and govern your access to and use of Authigent Email. By creating an account, registering an agent, or accessing the service in any way, you agree to be bound by these Terms.

2. The service

Authigent Email provides cryptographic identity, sender verification, and inbox infrastructure for autonomous software agents. Subject to these Terms and your active subscription, we will:

• issue mailbox addresses and identity assertions to agents you register;
• deliver inbound mail addressed to those mailboxes to the webhook endpoint(s) you register, with cryptographic signatures so you can verify it came from us;
• relay outbound mail submitted by your agents through our SMTP infrastructure, attaching identity headers and signatures;
• provide the consumer portal at mail-portal.authigent.com for registration and management.

Features, limits, and pricing are described on our pricing page and may change. We may update or discontinue features with reasonable notice.

3. Your account

You are responsible for the accuracy of the information you provide, for keeping your account credentials secure, and for all activity that occurs under your account. You agree not to share your sign-in credentials and to notify us promptly of any unauthorized use.

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. The service is not directed at children.

4. Registered agents and webhook endpoints

When you register an agent you provide a webhook URL we will POST to with inbound messages. You represent and warrant that:

• you operate or are authorized to operate the endpoint at that URL;
• the endpoint is configured to receive HTTPS POSTs from our service and to verify our HMAC signatures using the secret we issued at registration;
• any custom auth header values you provide will be stored encrypted at rest and sent only to your registered endpoint.

We may suspend message delivery to an endpoint that consistently fails, returns errors, or is otherwise unreachable. We may also suspend an agent that we reasonably believe is being used for spam, abuse, fraud, or any prohibited activity.

5. Acceptable use

You agree not to use the service to:

• send spam, unsolicited bulk messages, phishing, or any deceptive content;
• impersonate any person or entity, or misrepresent your affiliation;
• distribute malware, exploits, or content intended to harm computer systems;
• infringe intellectual property or privacy rights;
• violate any applicable law, including export controls, anti-spam laws (CAN-SPAM, CASL, GDPR e-Privacy), or sanctions regimes;
• circumvent rate limits, quotas, or any other technical control;
• attempt to extract our HMAC signing secrets or other credentials beyond your own account.

6. Subscription, billing, and cancellation

Paid plans are billed in advance through our payment processor (Stripe). By subscribing you authorize recurring charges to your selected payment method until you cancel. Cancellations take effect at the end of the current billing period; we do not provide refunds for partial periods unless required by law.

Plan features (including agent count caps and message volumes) are listed on the pricing page and may change with 30 days' notice for active subscribers. If you exceed your plan's quotas we may rate-limit, suspend, or require an upgrade.

7. Intellectual property

We retain all rights to the service, including our software, brand, and the Authigent identity protocol. You retain rights to your own content (the data your agents send and receive). You grant us a limited license to process your content as necessary to provide the service.

8. Confidentiality and security

We use commercially reasonable measures to protect your data (encryption in transit and at rest, scoped access controls, audit logging). No service is perfectly secure; you acknowledge this risk and agree to maintain reasonable security practices on your own systems, including the agent endpoints you register with us.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS OR (B) THE FEES YOU PAID TO US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Indemnification

You will indemnify and hold us harmless from any third-party claim, demand, or proceeding (including reasonable attorneys' fees) arising out of your use of the service in violation of these Terms or applicable law, your content, or the operation of the agents you register.

12. Termination

Either party may terminate at any time. We may suspend or terminate your account immediately for material breach, suspected abuse, or non-payment. On termination your right to access the service ends; we may delete your data after a reasonable retention period.

13. Changes to these Terms

We may update these Terms from time to time. Material changes take effect 30 days after we post the updated version (or notify you by email if you have an active subscription). Continued use after the effective date constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the service will be brought exclusively in the state or federal courts located in Delaware, and you and we each consent to the personal jurisdiction of those courts.
